These Terms of Use (the "Terms") form a binding legal agreement between Structrum Engineering Limited, together with its affiliated companies (collectively, the "Administrator", "we", "us"), and you. Please read them carefully before proceeding.
1.1. Your access to and use of the mybizmtaani.co.ke website and mobile applications, together with any related content, data, and services (collectively, the "Service" or the "Platform"), are subject to these Terms.
1.2. If you disagree with any part of these Terms, or you are not eligible or permitted to be bound by them, you must not access or use the Service.
1.3. Please also review our Privacy Policy. The Privacy Policy, along with any additional terms, rules, policies, or documents that may from time to time be published on the Platform, are incorporated into these Terms by reference. We may, at our sole discretion, revise or modify these Terms at any time, for any reason, with or without advance notice.
2.1. ALL SERVICES PROVIDED BY THE ADMINISTRATOR ARE OFFERED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS". THE ADMINISTRATOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY ASSURANCES REGARDING CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, COMMERCIAL VALUE, OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES ARE EXPRESSLY EXCLUDED.
2.2. THE ADMINISTRATOR DOES NOT CONTROL AND CANNOT GUARANTEE THE EXISTENCE, QUALITY, SAFETY, OR LEGALITY OF GOODS AND SERVICES USERS POST ON THE PLATFORM; THE RELIABILITY OR ACCURACY OF INFORMATION USERS SUPPLY IN THEIR LISTINGS; A SELLER'S ABILITY TO DELIVER GOODS OR SERVICES; A BUYER'S ABILITY TO PAY; OR THAT ANY TRANSACTION WILL ACTUALLY BE COMPLETED. THE ADMINISTRATOR MAKES NO REPRESENTATION THAT THE MANUFACTURE, IMPORT, EXPORT, OFFERING, DISPLAY, PURCHASE, SALE, ADVERTISING, OR USE OF PRODUCTS OR SERVICES SHOWN ON THE PLATFORM DOES NOT INFRINGE ANY THIRD-PARTY RIGHTS. ACCORDINGLY, THE ADMINISTRATOR EXPRESSLY DISCLAIMS LIABILITY FOR MATERIALS AND INFORMATION USERS POST ON THE PLATFORM.
2.3. WE ENCOURAGE YOU TO INSPECT GOODS BEFORE PAYING AND TO ASK THE SELLER FOR DOCUMENTATION CONFIRMING THAT THE GOODS COMPLY WITH APPLICABLE LAWS, REGULATIONS, RULES, AND STANDARDS.
2.4. YOU ACKNOWLEDGE THAT YOU ALONE ARE RESPONSIBLE FOR YOUR OWN SAFETY, AND THAT YOU SHOULD ONLY MEET OTHER USERS TO COMPLETE A TRANSACTION IN SAFE, PUBLIC LOCATIONS DURING DAYLIGHT HOURS. YOU ARE SOLELY RESPONSIBLE FOR VETTING ANY INDIVIDUAL OR ORGANIZATION THAT REQUESTS A MEETING FOR A JOB INTERVIEW OR TO COMPLETE A TRANSACTION. THE ADMINISTRATOR DISCLAIMS ANY RESPONSIBILITY FOR YOUR DEALINGS WITH ANY SUCH INDIVIDUAL OR ORGANIZATION.
3.1. To access certain features of the Service, you may be required to register an account on the Platform (the "Account") and to supply certain information as the registration form requests.
3.2. You may open an Account either as an individual or as an authorized representative of a company.
3.3. Only one Account per person is permitted. Where more than one person accesses an Account from the same device, we may require proof of identity to prevent duplicate accounts.
3.4. You are solely responsible for keeping your Account access details confidential and secure, and you bear full responsibility for any activity carried out through your Account.
3.5. You represent and warrant that you have reached the age of majority, or that you are using the Service under the supervision of a parent or legal guardian. Any user who is a minor under the law of their jurisdiction (generally under 18) must use the Service only with the permission and direct supervision of a parent or guardian, who must have read and agreed to these Terms on the minor's behalf beforehand.
3.6. We may suspend or terminate your Account, or restrict your access to the Service, with or without notice, if: (a) you breach these Terms; (b) we identify suspicious activity on your Account; or (c) we reasonably believe you are engaged in fraud, scams, duplicate-profile creation, or other misuse of the Service. This list is not exhaustive, and we may take similar action in other circumstances where we consider it necessary to protect the Service or the interests of other users and third parties.
3.7. You must promptly notify us of any unauthorized use, or suspected unauthorized use, of your Account, or of any other security breach. We are not liable for any loss or damage resulting from your failure to meet these obligations.
4.1. The Platform is an online service enabling users to create and publish listings, browse listings published by other users, and communicate with other users through the contact details provided in those listings.
4.2. The Administrator does not itself import, manufacture, distribute, or sell any item, nor does it provide any service posted by users on the Platform. Nor is the Administrator a marketer, or a person acting on a user's behalf, in connection with the marketing of goods or services posted on the Platform. Sale and purchase or service contracts are formed directly between users, and the Administrator is not a party to them. The Administrator's role is limited to enabling users to communicate with one another.
4.3. Users are solely responsible for collecting and remitting any taxes owed on goods or services they sell through listings posted on the Platform.
4.4. The Administrator may delete or block access to a user's listing without notice where: (i) it receives a binding order from a competent public authority; (ii) an intellectual property rights holder claims that a user's listing infringes their rights; (iii) a listing infringes the rights or legal interests of other users, entities, or individuals, upon their reasonable request; or (iv) the Administrator determines that a listing breaches these Terms or any applicable law, regulation, rule, or standard.
4.5. The Administrator may delete or block user listings whether or not it provides the user with an explanation.
4.6. The Administrator may change any aspect of the Service, whether free or paid, at any time, with or without notice. You acknowledge that such changes may impair or prevent your access to the Service, in whole or in part, temporarily or permanently, and agree that the Administrator bears no responsibility or liability for any such action or its consequences, including the removal of, or failure to provide, any content or service.
4.7. Each user is solely responsible for their own User Content (as defined below). Because we do not control User Content, you acknowledge that we are not responsible for it and make no guarantee as to its accuracy, currency, suitability, or quality. Your dealings with other users of the Service are strictly between you and them, and the Administrator is not responsible for any resulting loss or damage. We are under no obligation to intervene in a dispute between you and another user.
4.8. The Service may include links to third-party websites or resources, and advertisements from third parties (collectively, "Third-Party Ads"). These are outside the Administrator's control, and the Administrator bears no responsibility for them. We provide Third-Party Ads purely as a convenience and do not review, approve, monitor, endorse, or make any representation about them. Information provided by the properties Third-Party Ads link to may not be fully accurate, and you assume all risk and responsibility for using such properties. When you follow a link to a third-party site, that provider's own terms and policies, including on privacy and data handling, apply. You should carry out whatever due diligence you consider necessary before transacting with any third party. Any transaction or dealing involving a Third-Party Ad, including payment and delivery, is strictly between you and that third party.
4.9. You release us, and our officers, employees, agents, and successors, from any claims, demands, losses, damages, rights, and causes of action of any kind, including personal injury, death, and property damage, arising directly or indirectly from your interactions with other Service users or with any Third-Party Ads.
5.1. Upon request, a user must supply the Administrator with documents confirming the legitimacy of their listing and their identity.
5.2. A user who lists goods or services for sale on the Platform must provide accurate and complete details about them, as well as about the terms of sale or service. Among other requirements, the phone number attached to a listing must be reachable, meaning the user must be able to both receive messages and answer calls promptly. Failure to keep a functioning, accessible phone number may result in the temporary suspension of the user's listings.
5.3. Any terms of sale or service that a user sets must not conflict with these Terms or applicable law.
5.4. Prices for goods or services must be accurate. If a price is subject to change due to particular circumstances, this must be disclosed in the listing.
5.5. If you upload a YouTube video to your listing using the YouTube API functionality the Administrator offers, you agree to be bound by the YouTube Terms of Service, available at: https://www.youtube.com/t/terms.
5.6. If you upload a Facebook video to your listing using the Facebook Embedded Video & Live Player functionality the Administrator offers, you agree to be bound by the Meta Platform Terms, available at https://developers.facebook.com/terms/, and the Facebook Terms of Service, available at https://www.facebook.com/terms.php.
6.1. The Platform is generally free to use, though it may offer paid services — for example, limits on the number of free listings in certain categories, or paid advertising options for listings.
6.2. You may register more than one Account provided you use paid services on each of them.
6.3. The fees charged for paid services, and the payment methods we accept, are published on the Platform.
6.4. We may change our fees and accepted payment methods at any time, at our sole discretion, for any reason.
6.5. Except where mandatory applicable law provides otherwise, fees are non-refundable due to the nature of online services.
6.6. Payments for services are governed by the Billing Policy (https://mybizmtaani.co.ke/billing-policy.html).
By using the Service, you represent and warrant that:
You agree to indemnify and hold harmless the Administrator, its successors, subsidiaries, affiliates, related companies, suppliers, licensors, and partners, along with each of their officers, directors, employees, agents, and representatives, from any third-party claim or demand, including costs and attorneys' fees, arising from or related to: (i) your use of the Platform; (ii) your User Content; (iii) your breach of any representation, warranty, covenant, or obligation in these Terms; (iv) your violation of any applicable law, industry standard, regulation, guideline, or rule; or (v) any transaction you enter into through the Platform, or your breach of the terms of such a transaction. The Administrator may, at your expense, assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
9.1. UNDER NO CIRCUMSTANCES WILL WE OR OUR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR LOST PROFITS OR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS, YOUR USE OF OR INABILITY TO USE THE SERVICE, OR ANY THIRD-PARTY ADS, EVEN IF WE HAVE BEEN ADVISED SUCH DAMAGES WERE POSSIBLE. YOUR ACCESS TO AND USE OF THE SERVICE AND ANY THIRD-PARTY ADS IS AT YOUR OWN DISCRETION AND RISK, AND YOU ALONE ARE RESPONSIBLE FOR ANY RESULTING DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.
9.2. NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS, THE ADMINISTRATOR'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE OR THE CONTENT OF LISTINGS IS LIMITED TO THE LESSER OF THE AMOUNTS YOU PAID US, IF ANY, IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE, OR KSH10,500.
10.1. Any information you submit during registration, and any data, text, images, or other material you submit or post on the Platform (the "User Content"), remains your intellectual property; the Administrator claims no ownership of copyright or other proprietary rights in it. Nonetheless, you agree that the Administrator may retain copies of your registration information and User Content and use them as reasonably necessary or incidental to operating the Service, as described in these Terms and the Privacy Policy.
10.2. You grant the Administrator a non-exclusive, worldwide, transferable, perpetual, and irrevocable right to copy, modify, adapt, store, publish, distribute, publicly display and perform, communicate, and make your User Content available to the public in connection with the Service — including making it public on affiliated websites — as well as for the Administrator's marketing, advertising, and other purposes.
10.3. You represent and warrant that your use of the Service will not infringe or violate any other party's rights, or breach any contract or legal duty owed to another party.
10.4. All material on the Platform other than material posted by users — including but not limited to text, software, scripts, graphics, photographs, sound, music, video, and interactive features (the "Materials") — along with any trademarks, service marks, and logos it includes (the "Marks"), belongs to or is licensed by the Administrator and constitutes copyrighted or otherwise protected intellectual property. Using such Materials or Marks without the Administrator's prior authorization is not permitted.
10.5. If you hold intellectual property rights, or are authorized to act for a rights holder, and reasonably believe that material posted on the Platform infringes those rights, you may notify the Administrator and request its removal. You must warrant that your claim has a legal basis and that you are acting in good faith and in accordance with the law.
10.6. A notification of alleged infringement must follow the form below and include:

11.1. These Terms are governed by the laws of Kenya.
11.2. Any dispute, controversy, or claim arising out of or connected to this contract, including its breach, termination, or invalidity, will be resolved by arbitration under the NCIA Arbitration Rules. Arbitral proceedings will be conducted in English.
12.1. Except as otherwise stated, if any provision of these Terms is found invalid, void, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
12.2. We may transfer or assign any of our rights and obligations under these Terms to another person, including by novation, and by accepting these Terms you consent to any such transfer or assignment.
12.3. Our failure to act on a breach of these Terms does not waive our right to act on any other breach.
12.4. The Administrator will not be liable for any failure to comply with these Terms to the extent that failure results from factors beyond the Administrator's reasonable control.
